Terms and Conditions of Use

1. Acceptance of Terms

By downloading, installing, or using the Relay application ("App"), you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please do not use the App.

2. Purpose of the App

Relay is a chat client for interacting with self-hosted large language models (LLMs). The App connects to LLM servers that you configure (such as Ollama, LM Studio, or compatible API endpoints) and provides an interface for conversational AI.

Important: Relay is an interface, not an AI service. We do not provide, host, or operate any AI models. The quality, accuracy, and behavior of AI responses are determined entirely by the models and servers you connect to.

You are responsible for: The LLM servers you connect to, the models you use, and how you use the AI outputs.

3. License and Usage Rights

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Relay for personal or internal business purposes.

You may:

• Connect to multiple LLM servers
• Use unlimited conversations during your license period
• Store conversations locally on your device
• Upload images and files to vision-enabled models

You may not:

• Reverse engineer, decompile, or disassemble the App
• Remove or alter any copyright, trademark, or proprietary notices
• Sell, rent, lease, or sublicense the App to third parties
• Use the App for any illegal or unauthorized purpose
• Attempt to bypass licensing or trial restrictions

4. Pricing and Purchases

Free Trial

Relay offers a free trial with full features. Trial limitations and duration are displayed within the App.

One-Time Purchase

After the trial, a one-time purchase unlocks unlimited use. This is not a subscription — there are no recurring charges.

Refunds

Purchases are processed through the Apple App Store. Refund requests must be made through Apple according to their refund policies.

5. Data Ownership and Storage

Your Conversations

All conversations, prompts, and AI responses are stored locally on your device. You retain full ownership and control over this data.

Server Configurations

Your server URLs, API keys, and credentials are stored locally on your device. We do not have access to this information.

No Cloud Backup

We do not provide cloud backup services. If you delete the app or lose your device, your conversations and settings cannot be recovered unless you have backed up your device using your operating system's backup features.

6. User Responsibilities

You agree to:

• Use the App only for lawful purposes
• Ensure your LLM servers are properly secured and configured
• Comply with the terms of service of the LLM providers you use
• Not use AI outputs for illegal, harmful, or malicious purposes
• Not attempt to generate content that violates laws or third-party rights
• Take responsibility for how you use AI-generated content

7. AI Content and Accuracy

AI outputs are not guaranteed to be accurate, complete, or appropriate.

• We do not control or verify the outputs of the AI models you connect to
• AI responses may contain errors, biases, or inappropriate content
• You should not rely on AI outputs for critical decisions without verification
• We are not responsible for any actions taken based on AI outputs

8. Third-Party Services

Relay connects to third-party LLM servers that you configure:

• Ollama: Open-source local LLM server
• LM Studio: Desktop application for running LLMs
• Compatible APIs: Any OpenAI-compatible API endpoint

You are responsible for complying with the terms of service and privacy policies of any LLM servers or models you use. We are not responsible for the availability, performance, or behavior of third-party services.

9. Intellectual Property

Relay, including its design, code, features, and trademarks, is owned by Undr Development and protected by intellectual property laws.

Your content remains yours. We claim no ownership of your conversations, prompts, or any content you create.

10. Disclaimers and Limitations of Liability

No Warranty

Relay is provided "as is" without warranties of any kind, either express or implied. We do not guarantee:

• Error-free or uninterrupted operation
• Compatibility with all LLM servers or models
• Accuracy or quality of AI outputs
• That the app will meet your specific requirements

Limitation of Liability

To the maximum extent permitted by law, Undr Development shall not be liable for:

• Data loss or corruption
• Loss of business, profits, or revenue
• Indirect, incidental, special, or consequential damages
• Damages arising from AI outputs or your reliance on them
• Damages arising from third-party LLM servers or models

11. Indemnification

You agree to indemnify and hold harmless Undr Development from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the App
• Your use of AI outputs
• Your connection to third-party LLM servers
• Your violation of any third-party rights

12. Changes to the App and Terms

We reserve the right to:

• Modify or discontinue features at any time
• Update these Terms and Conditions
• Change pricing for future purchases

Material changes will be communicated through the App. Continued use after changes indicates acceptance.

13. Termination

Your Rights: You may stop using the App at any time by deleting it.

Our Rights: We may terminate or suspend your access to the App if you violate these Terms, without notice and without liability.

14. Compliance with Laws

You agree to comply with all applicable laws when using Relay, including:

• Data protection laws (GDPR, CCPA, etc.)
• Export control laws
• Intellectual property laws
• Laws governing AI usage in your jurisdiction

15. Dispute Resolution

These Terms are governed by the laws of the applicable jurisdiction. Any disputes will be resolved through binding arbitration or small claims court, rather than class action lawsuits.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
